Past Event | Maximizing Value in M&A Integration and Separation

Throwback on the full-house joint session between the Finance and Legal & Compliance Committees on Mastering Post-Merger Integration (PMI) and Separation in M&A.
While mergers and acquisitions are staples of global corporate strategy, the reality is that between 70% and 90% of acquisitions fail to deliver their expected financial or strategic value.
Our recent event led by Erwan Barre, partner at RHTLaw Asia, Sebastien Perier, Singapore General Manager and M&A IT and Transition Executive at AXA GO and Alexis Klein, Associate director Financial services at Capgemini Invent - explored why value destruction happens and how to prevent it by shifting focus to the "engine room" of the transaction: Legal, IT, and Transition Management.

Empower the "Strategic Duo": Success requires a tight partnership between the Legal Team (framing the SPA/TSA) and the Integration/Separation Management Office (I/SMO). While Legal sets the rules, the I/SMO translates those contracts into an operational reality that works on Day 1.
Apply Equal Rigor to Divestitures: Value erosion isn't just a buyer’s problem. Sellers often face "stranded costs" and operational friction. Effective Separation Management is critical to unlinking systems and assets without damaging the remaining business.
Operationalize the Transition: Use a structured, 5-step framework—from asset inventory and target-state mapping to roadmap sequencing—to move beyond a "best-effort" integration toward a predictable, value-driven transformation.
The Bottom Line: M&A success isn't just about the deal strategy; it’s about the operational rigor of the hand-off. By focusing on execution levers early, organizations can move from simply surviving a deal to unlocking its true strategic potential.
