EGM - Extraordinary General Meeting

NOTICE IS HEREBY GIVEN that an Extraordinary General Meeting (“EGM”) of the French Chamber of Commerce in Singapore (“FCCS”) will be held on Friday, 15 November 2024 at 8:00 a.m. at AXA XL - 138 Market Street - #10-01 CapitaGreen, Singapore 048946, to transact the following business:

SPECIAL RESOLUTION – ADOPTION OF AMENDED CONSTITUTION

1. The amended constitution of FCCS (“Amended Constitution”), attached hereto as below be approved and adopted as the new constitution of FCCS, in substitution for and to the exclusion of the existing constitution of FCCS;
2. The President and General Secretary be authorised to submit an application, the Amended Constitution and any necessary documentations with the Registry of Societies; and
3. Any member of the Board and/or the General Secretary be and is hereby authorised to do all things necessary, desirable or expedient in connection with the foregoing and generally do all such things as they may deem necessary or expedient for all the foregoing purposes.

Important Notes:

1. The EGM will be held physically with there is no option for Members to participate virtually.
2. A Member may submit questions to FCCS in writing via post or email at egm(@)fccsingapore.com. The questions must reach FCCS at least three days prior to the EGM.
3. All substantial and relevant questions will be addressed by the Board and/or management prior to, or at, the EGM.
4. Each Corporate Member and Individual Member may nominate a proxy to execute his right to vote at the EGM. A person so nominated may only hold up to five (5) proxies. Such Corporate Member or Individual Member and person so nominated shall sign and fill up all the particulars required in the proxy form and submit it to FCCS by electronic mail to egm(@)fccsingapore.com  or by hand at the FCCS registered office. The completed proxy form must reach FCCS no later than 48 hours before the time for holding the EGM. A copy of the proxy form is attached hereto as below.
5. All capitalised terms in this notice shall, unless otherwise defined in this notice, bear the respective meanings ascribed thereto in the existing constitution of FCCS.
